CONFLICT OF INTEREST AND CONFIDENTIALITY

POLICY AND AGREEMENT

As a Director, employee, volunteer, or worker for NAGPS, I realize that I owe duties of care, loyalty, and obedience to NAGPS so that To avoid conflicts of interest, I agree to disclose to the Board situations or areas in which it might appear that I have conflicting duties to other entities where my allegiance might be split between NAGPS and some other professional, business or olunteer position or responsibility (such as assisting a competing organization or serving as a vendor to NAGPS).Such a conflict may warrant my withdrawal from debate, vote, work, or, if necessary to protect against legal liability, my position with NAGPS I understand that I may receive or have access to confidential information about NAGPS, its employees, transactions, present or proposed policies, programs, or activities, and I understand that unwarranted disclosure could jeopardize the success of the endeavor or damage NAGPS, and I therefore agree to maintain the confidentiality of that information.Understood and agreed by.
